I. VUE D’ENSEMBLE
Ce site est exploité et présenté par l’entreprise individuelle LOCALEMENT SUISSE, située à 2016 Cortaillod.
Les présentes conditions générales régissent les droits et obligations liés à l’utilisation du site.
Internet localement-suisse.ch, qui est une plate-forme pour l’offre et l’acquisition de
biens.
En cas d’acceptation, cette dernière implique l’acceptation pleine et entière des présentes
conditions générales.

ARTICLE 1 – CHAMP D’APPLICATION

  1. Les présentes CGU et la législation à laquelle elles se réfèrent obligent les utilisateurs du site
    internet localement-suisse.ch
  2. Les présentes CGV font partie intégrante du contrat de vente conclu entre un acheteur et un
    vendeur, conformément aux définitions de l’art. 2 des CGV.$

ARTICLE 2 – DÉFINITIONS Dans les présentes
CGV, les gérants de localement-suisse.ch entendent par :

  1. Utilisateur : toute personne physique ou morale qui consulte ou visite le site
    localement-suisse.ch, achète un produit sur localement-suisse.ch et/ou vend un produit
    sur localement-suisse.ch ;
  2. Membre; toute personne physique ou morale, enregistrée sur localement-suisse.ch, dans le
    but d’acheter et/ou de vendre un produit ;
  3. Buyer: any natural or legal person who buys a product on localement-suisse.ch as a member;
  4. Seller: any natural or legal person who buys a product on localement-suisse.ch as a member;
  5. Offer: publication made by the seller, under his own responsibility and according to his
    own terms and conditions, of a product intended for sale on localement-suisse.ch;
  6. Product: property intended for sale and offered on localement-suisse.ch by the seller, under his
    own responsibility and on its own terms

ARTICLE 3 – PURPOSE

  1. Localement-suisse.ch is a digital platform available to users,
    respectively of the members, who can conclude between themselves, in an autonomous way, under
    their own responsibility and under their own terms, sales contracts.
  2. Said contracts develop their effects only between the sellers and the buyers, who
    undertake, unless otherwise agreed individually, in accordance with the provisions of the Code of
    Swiss bonds (RS: 220).
  3. Those responsible for localement-suisse.ch are not parties to the sales contracts that
    conclude, among themselves, the members.
  4. The persons in charge of localement-suisse.ch not held responsible for the risks related to
    the negotiation, conclusion, execution or non-execution of said sales contracts as well as
    any resulting damage.

II. MEMBERSHIP
ARTICLE 4 – REGISTRATION

  1. To buy or sell products on localement-suisse.ch, users must wear the
    membership, which presupposes prior registration, in accordance with this
    arrangement.
  2. Only natural or legal persons having the exercise of civil rights, within the meaning of
    provisions of the Swiss Civil Code (SR: 210.), may become members.
  3. At the time of registration, users agree to provide current data,
    complete and correct.
    Let. a In the case of natural persons, this data concerns their names
    and first name, their date of birth, the address of their main residence, their
    email address and bank details.
    Let. b In the case of legal persons, this data concerns the name of the
    the company, their company name, the address of their registered office, the name and
    the e-mail address of the person authorized to represent him as well as their
    bank details.
  4. In the event of changes and/or modifications, members are obliged to proceed, without
    deadline, to the necessary corrections.
  5. The persons in charge of localement-suisse.ch reserve the right, at any time, to request
    additional information and to carry out checks.
  6. The persons in charge of localement-suisse.ch reserve the right to refuse registration.
  7. Registration is free for buyers.
  8. The registration amount for sellers is defined between the parties.
  9. Registration, in the same way as use, implies full and complete acceptance of these
    CG.

ARTICLE 5 – MEMBERSHIP AND TERMINATION

PROJECT

  1. Membership begins with the sending of a confirmation email by those responsible for
    Localement-suisse.ch, as soon as the member has registered and accepted these T&Cs. sending
    said email is subject to user registration, pursuant to art. 4 hereof
    CG.
  2. Membership is personal and non-transferable.
  3. A member may terminate his membership at any time. Termination is done by email to
    the address support@localement-suisse.ch.
  4. Termination is deemed effective as soon as a confirmation email is sent by the
    responsible for localement-suisse.ch.
  5. The persons in charge of localement-suisse.ch reserve the right, at any time, to terminate
    unilaterally the membership of a member.

III. OBLIGATIONS OF USERS AND MEMBERS

ARTICLE 6 – CONFIDENTIAL NATURE OF ACCESS DATA

  1. Members shall keep their password and username secret. In particular, they
    take care never to reveal them to third parties or to allow them to access their account.
  2. The persons in charge of localement-suisse.ch cannot be held responsible for the
    consequences resulting from the lack of vigilance of the members.

ARTICLE 7 – TECHNICAL INTERVENTIONS

  1. The use of mechanisms, software or other systems that may alter the correct
    operation of the website localement-suisse.ch is strictly prohibited.
  2. Users and members are not allowed to block, replace or modify the
    content generated by localement-suisse.ch.
  3. Any reproduction, duplicate, copy, sale or exploitation of the content found on the site
    internet of localement-suisse.ch is strictly prohibited.

ARTICLE 8 – PROTECTION OF THE PERSONALITY OF THIRD PARTIES

  1. The inscriptions, texts, photographs and/or illustrations that members publish on the site
    internet of localement-suisse.ch do not violate any of the rights of the personality of the users,
    members and/or third parties.
  2. Users and members ensure that they maintain courteous and detailed language. The
    insulting, defamatory or offensive comments to the honor of other users, members
    and/or third parties will be deleted.

ARTICLE 9 – PROHIBITION ON ADVERTISING

PROJECT

The inscriptions, texts, photographs and/or illustrations that members publish on the site
website of localement-suisse.ch do not contain any advertising relating to products that do not
are not the subject of any offer on the aforementioned website.

 

ARTICLE 10 – MAINTENANCE

  1. Due to maintenance or other work, users and members recognize
    and accept that the website localement-suisse.ch may be, without prior warning,
    temporarily inaccessible. Said inaccessibility does not give rise to any legal claim
    users and members against those responsible for localement-suisse.ch
  2. Les utilisateurs et les membres acceptent que l’utilisation du site Web localement-suisse.ch
    ne peut pas être, à tout moment, ininterrompue, rapide et sécurisée.

IV. OBLIGATIONS DES VENDEURS

ARTICLE 11 – PAIEMENT D’UNE MENSUALITÉ

  1. Outre le paiement de leur inscription, les vendeurs versent aux responsables de localement-suisse.ch, une mensualité dont le montant est défini entre les parties.
  2. Cette mensualité doit être versée, au début de chaque mois, sur le compte bancaire du responsable de localement-suisse.ch. Les factures sont envoyées par e-mail. Il peut être, à la demande du vendeur, par courrier.
  3. En cas de non-paiement dans les délais, un rappel est envoyé aux vendeurs. le
    premier rappel est gratuit, les rappels suivants seront facturés à CHF 20.00.-.
  4. The non-use of the platform made available by those responsible for localement-suisse.ch and/or the non-conclusion of a sales contract do not give rise to any reduction in the
    monthly payment or any reimbursement of the registration.

ARTICLE 12 – POWER OF DISPOSAL

  1. Only products are offered that sellers are able and authorized to offer for sale.
    In particular, the sellers deliver to the buyers, fully and free of any encumbrance, the
    possession and ownership of the product covered by the sales contract.
  2. The persons in charge of localement-suisse.ch reserve the right, at any time, to withdraw the offer
    of a product that would contravene the first paragraph of this article.

ARTICLE 13 – INDICATIONS CONFORMING TO THE TRUTH

  1. The sellers undertake to provide information that is truthful and that is not of
    likely to mislead buyers about the qualities and properties of the product being offered.
  2. The sellers guarantee that the product offered has all the qualities and properties
    described in the offer.
  3. The sellers undertake to provide the information necessary for the deadlines and methods of
    payment, shipping, delivery, return, exchange, refund, warranty for
    defects and after-sales service of the product offered.
  4. The inscriptions, texts and/or illustrations that make up the indications provided by the
    sellers do not infringe the intellectual property rights of any other user, member and/or
    third.
  5. Sellers are authorized to publish photos, texts and/or illustrations which fall within their
    own fact or whose use has been duly authorized by the holder of the rights concerned. 

V. RELATIONS ENTRE VENDEUR ET ACHETEUR

ARTICLE 15 – EXCLUSION DE RESPONSABILITÉ

  1. Comme indiqué à l’art. 3 al. 2 et 3 des présentes CGV, les responsables de localement-suisse.ch n’assument aucune responsabilité en ce qui concerne l’exécution des obligations
    contractuelles existant entre les vendeurs et les acheteurs.
  2. Les responsables de localement-suisse.ch ne sont pas tenus de vérifier les offres et
    l’exactitude des informations contenues sur leur plateforme.
  3. Les personnes en charge de localement-suisse.ch n’assument expressément aucune responsabilité
    pour :
    Let. a La véracité et l’exactitude du contenu d’une offre;
    Laisser. b La qualité, la sécurité, la légalité et/ou la disponibilité des produits proposés
    ;
    Laisser. c L’aptitude, l’autorisation et la volonté des membres pour l’exécution
    du contrat de vente;
    Laisser. d. Dommages résultant de l’inexécution ou de la violation du contrat de
    vente conclu entre les vendeurs et les acheteurs;
    Laisser. e Dommages subis par les utilisateurs, les membres et / ou des tiers,
    à la suite de l’utilisation du site Web localement-suisse.ch
  4. Those responsible for Localement-suisse.ch do not produce any of the products offered on its
    their website. In the event of damage, their liability under the Federal Law on
    product liability (RS: 221.112.944) is excluded.

ARTICLE 16 – EXECUTION OF THE CONTRACT

  1. The execution of the sales contract is the full and entire responsibility of the buyers and
    sellers.
  2. In accordance with art. 13 para. 3 of these GC, the sellers indicate and take care of the
    terms and conditions of payment, shipping, delivery, return, refund,
    warranty for defects and after-sales service.
  3. In particular, Sellers agree to:
    Let. a Hold the authorizations required by Swiss law, in particular
    for the manufacture, production and/or marketing of the product
    the subject of their offer;
    Let. b Guarantee that the product complies with the indications contained in their
    offers;
    Let. c Obtain the data necessary for the correct performance of the contract;
    Let. d State their prices in Swiss francs (CHF), including tax. In addition, indicate their
    prices in accordance with the requirements of Swiss law;
    Let. e Indicate the unit price of the product they are offering;
    Let. f Manage their stock so that demand can be met.
  4. The products are presented as accurately and faithfully as possible. However, the
    buyers accept that a representation of the products conforming to reality cannot be
    guarantee. In particular, they acknowledge that differences in rendering, color or material
    may remain, due to internet browsing software and/or display quality
    devices used.

VI. FINAL PROVISIONS

ARTICLE 17 – DATA PROTECTION

  1. Concerned about the protection granted to personal data and the private sphere of
    users and members, the managers of localement-suisse.ch undertake to act
    in accordance with the Federal Data Protection Act (SR: 235.1).
  2. The personal data of users and members are collected and processed within the
    sole purpose of performing the services offered on the website localement-suisse.ch and of
    process their invoicing.
  3. Furthermore, Users and Members agree that those responsible for localement-suisse.ch uses their data for the development and improvement of the services.
  4. Users and members have a right of access, rectification, opposition and
    deletion of data concerning them. Any related request should be addressed to
    support@localement-suisse.ch The identity of the user or member at the origin of said
    request will be verified.

ARTICLE 18 – UNILATERAL MODIFICATION OF THE GENERAL CONDITIONS

  1. The persons in charge of localement-suisse.ch reserve the right to modify unilaterally and
    at any time, all or part of these T&Cs. Say changes are automatically
    published on the website of localement-suisse.ch and it is the responsibility of the
    users and members to regularly be aware of the changes made.
  2. The fact of consulting, visiting, buying or selling via the website of localement-suisse.ch, after the modification of these GTC, constitutes a tacit acceptance to the modifications made.

ARTICLE 19 – PARTIAL NULLITY
If isolated provisions of these GTC are or become totally or partially
void, the other provisions are not affected.

 

ARTICLE 20 – FORUM AND APPLICABLE LAW

  1. Any dispute relating to these T&Cs is subject to the jurisdiction of the authorities
    neuchâteloises.
  2. The choice of court concluded after the dispute has arisen remains reserved, in accordance with
    art. 34 par. 2 of the Swiss Code of Civil Procedure (RS: 272).

PROJECT

  1. Only Swiss law is applicable, excluding the LDIP (RS: 291). The Convention of
    United Nations on Contracts for the International Sale of Goods (RS: 0.221.211.1) as well as
    that any other interstate agreements do not apply.
